Terms of Service

Please read these Terms carefully. By creating an account, clicking “sign up,” installing or using the Myles browser extension, or otherwise accessing or using any part of Myles, you agree to be bound by these Terms of Service and by our Privacy Policy, which is incorporated here by reference. If you are using Myles on behalf of a business, you represent that you are authorized to bind that business, and “you” means both you and that business. If you do not agree to these Terms, do not access or use Myles.
These Terms are a binding agreement between you and Myles Copilot, Inc. (“Myles,” “we,” “us”). They govern the Myles web application, the Myles browser extension, and related services (together, the “Service”).
1. Accounts & eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. Accounts and organization membership are managed through our authentication provider. One organization in Myles represents one business. You are responsible for your account, for your team members’ use of the Service under your organization, and for keeping your credentials secure. Each user is responsible for the accuracy of the information they enter.
2. Trials, subscriptions & billing
New self-serve sign-ups receive a limited free trial (currently two loads or seven days, whichever comes first). Some accounts may be placed in a no-charge beta cohort. After a trial ends, continued use of paid features requires an active subscription. Fees, billing frequency, and any taxes are as described at the time you subscribe. Except where required by law or stated otherwise, payments are non-refundable. We may change pricing on a going-forward basis with notice. If your account becomes past due, we may suspend access to paid features until the balance is resolved.
3. Your data & ownership
As between you and Myles, you own the business and operational data you put into the Service (“Customer Data”). You grant us a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide and improve the Service, consistent with our Privacy Policy. You are responsible for the legality of the data you provide and for having the rights and consents needed for us to process it — including any driver location data and any third-party (such as broker) contact information you capture.
4. Acceptable use
You agree not to:
- use the Service in violation of any law or any third party’s rights;
- attempt to access another organization’s data, probe or breach security, or disrupt the Service;
- reverse engineer, resell, or build a competing product from the Service except as permitted by law;
- upload malware, or submit content that is unlawful or infringing; or
- use automated means to overload or scrape the Service beyond the features we provide.
5. Browser extension & load boards
The Myles extension and connected-board features capture load information on your behalf so you can analyze it. You are responsible for complying with the terms of service of any load board or third-party site you use the Service with, and for ensuring you are permitted to capture and use that data. We are not responsible for the content, accuracy, availability, or terms of third-party load boards or sites.
6. Email integration
If you connect an email account, you authorize Myles to access that mailbox using the credentials or tokens you provide, in order to fetch, classify, and display messages, download attachments, and send replies or drafts at your direction. You represent that you are authorized to connect the mailbox. You can disconnect it at any time.
7. AI features — guidance only
Myles uses AI to score load profitability, answer questions, classify emails, and extract data. These outputs are informational aids generated from your inputs and may be incomplete or inaccurate. They are not financial, accounting, tax, legal, or professional advice, and they are not a guarantee of any outcome. The decision to accept, price, or run any load is yours. Verify important figures independently before relying on them.
8. Our intellectual property
The Service, including its software, design, and content (excluding Customer Data), is owned by Myles and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. All rights not expressly granted are reserved. If you send us feedback, we may use it without restriction or obligation to you.
9. Third-party services
The Service relies on and integrates third-party services (for example, authentication, hosting, AI, email, payments, and public carrier/vehicle lookups). Your use of those services may be subject to their own terms, and we are not responsible for them.
10. Disclaimer of warranties
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any profitability score, P&L calculation, or AI output will be accurate or complete. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
11. Limitation of liability
To the maximum extent permitted by law, Myles will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the claim, or one hundred US dollars (US $100). These limits apply even if a remedy fails of its essential purpose.
12. Indemnification
You will defend, indemnify, and hold harmless Myles from claims, damages, and expenses (including reasonable legal fees) arising out of your Customer Data, your use of the Service, your violation of these Terms, or your violation of any law or third-party right (including a load board’s terms or a driver’s privacy rights).
13. Term & termination
These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms, fail to pay, or create risk or legal exposure for us or others. On termination, your right to use the Service ends; we will make Customer Data available for export for a limited period where reasonably practicable, after which we may delete it. Sections that by their nature should survive (for example, ownership, disclaimers, liability limits, and indemnification) will survive.
14. Changes to the Service or Terms
We are actively building Myles and may add, change, or remove features. We may also update these Terms; when changes are material we will update the date above and, where appropriate, notify you in the app. Your continued use of the Service after changes take effect means you accept the updated Terms.
15. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The parties will try to resolve disputes informally first by contacting support@mylescopilot.com. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to venue there, except where applicable law gives you the right to a different forum.
16. Miscellaneous
These Terms and the Privacy Policy are the entire agreement between you and Myles regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
